This Agreement contains the complete terms and conditions that apply to your participation as a member of the MyThemeShop Affiliate Program.

1. Enrollment

All free and paid accounts on MyThemeShop are automatically signed up for an affiliate account but that’s not the only requirement for being an affiliate. From time to time, we will evaluate your account in good faith to ensure you comply with all our rules and agreements. We may reject your account if we determine in our sole discretion that your site and promotion methods are unsuitable for the Program for any reason, including, but not limited to, if your site incorporates images or content that is unlawful, defamatory, obscene, harassing or otherwise objectionable, such as sites that facilitate illegal activity or promote violence or promote or assist others in promoting copyright infringement, or if your site is or promotes a business-opportunity program (collectively, “Content Restrictions”).

2. Usage of Affiliate Links

As an affiliate website of MyThemeShop, you may use any form of promotion you choose, consistent with the terms of this Agreement. You may use banner advertisements, button links and/or text links to our site (the “Links”), however, you CANNOT SPAM. Any activity by you or on your behalf that we determine or reasonably suspect to be the result of an unsolicited bulk e-mail program will result in your immediate termination from the Program and your forfeiting of money otherwise due you hereunder. Allowable promotional links may contain MyThemeShop’s trade names, service marks, and/or logos for display on your Affiliate Site. Subject to the terms and conditions hereof, you are granted a limited, non-exclusive, non-transferable license to access and download such Links and other designated promotional materials for placement on your Affiliate Site for the sole and exclusive purpose of promoting websites owned, operated or controlled by MyThemeShop. In utilizing the Links, you agree that you will cooperate fully with us in order to establish and maintain such Link or Links. A Link may only be visually modified with our consent.

3. Commissions

We pay a flat rate of 70% commissions on sales you send us. This includes sales of themes, plugins, and extended membership package. If your referral makes any subsequent payments within 15 days of them signing up, you will receive 70% commission on those sales as well. However, no commissions will be paid on payments made after 15 days of first sales.

4. Two Tier Affiliate Commissions

We pay 10% on sales of all affiliates that signup using your affiliate link. That means, if someone you refer decides to be an affiliate of MyThemeShop as well, you will earn 10% of all their valid sales for lifetime.

5. Commission Payment

Commissions deemed due and owed to you under the program will be paid to you directly by MyThemeShop after any holding period and in accordance with a regular payout cycle established by MyThemeShop. No commission will be paid for signups by you, your household, or anyone within your organization.

Commissions can be earned per each new client referred through the unique affiliate link. An existing customer, defined by any client who has had an existing account with us at anytime in the past, would not be eligible for a commission with the program.

We reserve the right to cancel any of your affiliate coupons, even if you are currently using the coupon.

Payments are made on 5th of every month for all commissions earned in the previous month, unless we put your payment on hold due to suspicious activity.

Commissions for the month of January are paid on 5th February, so on and so forth.

6. Minimum Payment Threshold

We do not believe in thresholds so any commissions you earn will be sent to you without a minimum.

7. Tax Forms

In order for use to send payments without delay, you must submit a relevant tax form. This can be done from your MyThemeShop account under the affiliates tab.

8. We allow creation of custom coupons for affiliate that generate more than $1000 in sales with us in any given month. These coupons can be customized by the affiliate to give a custom discount to a customer (deducted from the 70% commission rate) and the remainder will be offered as commission to the affiliate.

9. Cookies and Custom Coupons

An affiliate cookie is valid for 60 days after first visit of your referral. If your affiliate decides to become a premium member or an extended member within 60 days of clicking on your affiliate link, you will still earn a commission on their sale. That is, if they didn’t click on anyone else’s affiliate link after clicking on yours.

Sales generated using a custom coupon from a affiliate will be credited to the affiliate that provided the coupon – irrespective of whose affiliate link the customer clicked on.

10. Miscellaneous

Terminated accounts cannot later apply to the Program without our express written consent. This Agreement will be governed by the laws of the United States and the State of Illinois, without reference to rules governing choice of laws. MyThemeShop reserves the right to institute a reserve fund holding commissions for a time period deemed necessary in situations where sales generated by an affiliate consistently have a high chargeback/cancellation ratio. MyThemeShop will be the sole and final arbitrator for any and all disputes or claims related to the validity of sales. In order to facilitate accurate record-keeping, multiple MyThemeShop affiliate accounts are strictly prohibited. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns. Our failure to enforce your strict performance of any provision of this Agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement.
